# Frequently Asked Questions

## Account and Authentication

    Go to [app.equa.cc](https://app.equa.cc) and click **Sign Up**. You can register with email and password, Google sign-in, or a magic link. See the [Getting Started](/guides/getting-started) guide for detailed steps.

    Equa supports three sign-in methods:

    * **Email and password** — Traditional login with email verification
    * **Google OAuth** — One-click sign-in with your Google account (email is auto-verified)
    * **Magic link** — A one-time login link sent to your email, valid for 15 minutes

  <Accordion title="How long does my session last?">
    Sessions last as long as you remain active — each request resets the 42-minute inactivity timer. If you are inactive for more than 42 minutes, you will be logged out automatically.

  <Accordion title="How do I enable two-factor authentication?">
    Navigate to **Settings > Account** and click **Enable 2FA**. Scan the QR code with an authenticator app (Google Authenticator, Authy, etc.) and enter the verification code. See [Profile and Settings](/guides/profile-and-settings) for details.

    On the login page, click **Forgot Password** to receive a password reset email. You can also use the magic link option to sign in without a password.

## Organizations

    There is no fixed limit on the number of organizations you can create. Each organization operates independently with its own cap table, documents, and team members.

    Equa supports LLCs, C-Corps, S-Corps, and other common entity types. Choose the type that matches your company's legal structure when creating the organization.

  <Accordion title="Can I delete an organization?">
    Only the organization owner can delete an organization. Navigate to organization settings and click **Delete Organization**. This action should be taken with extreme care as it affects all associated data.

  <Accordion title="How do I transfer ownership of an organization?">
    Organization ownership is determined by the creator. To transfer ownership, contact Equa support for assistance with this administrative change.

## Cap Table

  <Accordion title="What is a cap table?">
    A capitalization table (cap table) tracks who owns equity in your company. It lists all shareholders, their share classes, the number of shares they hold, and their ownership percentages. Equa maintains both outstanding and fully-diluted views.

  <Accordion title="What is the difference between outstanding and fully-diluted ownership?">
    **Outstanding** ownership counts only shares that have been issued. **Fully diluted** ownership also includes shares that are reserved in option pools, convertible instruments, and other commitments that may become shares in the future. Fully diluted gives a more complete picture of potential ownership.

  <Accordion title="Can I issue fractional shares?">
    Yes, but only for security types that have fractional shares enabled. Check your security type settings to see if fractional ownership is allowed.

  <Accordion title="How are share certificates generated?">
    Equa generates PDF certificates automatically from your cap table data. Each certificate includes the shareholder name, share details, serial number, legends, and signatures. Navigate to any shareholding and click **Download Certificate**.

  <Accordion title="Can I void a shareholding?">
    Yes. Open the shareholding from the cap table and click **Void**. Voided shareholdings display a "VOID" marking on generated certificates. The serial number is permanently reserved.

## ESOP and Equity Plans

    An Employee Stock Option Plan (ESOP) is a framework for granting stock options to employees. In Equa, ESOPs consist of a board-approved plan, option pools, individual option grants, and vesting schedules.

    Equa supports two types:

    * **Continuous** — Shares vest over time at regular intervals (e.g., monthly over 4 years with a 1-year cliff)
    * **Discrete** — Shares vest on specific dates in specific amounts (e.g., milestone-based vesting)

  <Accordion title="How do employees exercise their options?">
    Once options have vested, the holder can exercise them through the ESOP module. Enter the number of shares to exercise (cannot exceed vested but unexercised shares), and the options are converted into a shareholding on the cap table.

## Convertible Instruments

    Equa supports: Convertible Notes, Pre-Money SAFEs, Post-Money SAFEs, YCVC SAFEs, YC Convertible Notes, 500 Startups Convertible Notes, 500 Startups Convertible Securities, SAFTs, and Custom instruments.

  <Accordion title="How is interest calculated on convertible notes?">
    Equa uses simple interest: Principal x Accrual steps x (Rate / 365) / 100. The accrual frequency can be daily, monthly, or annual, which affects how steps are counted.

  <Accordion title="How does conversion work?">
    When a qualifying event occurs, you enter the conversion valuation. Equa calculates the price per share (valuation / total shares - discount) and the shares owed per note (principal + interest / discounted price). The system then creates new shareholdings for each note holder.

## Documents and Data Rooms

  <Accordion title="What is the difference between Documents and Data Rooms?">
    **Documents** is the general file storage for your organization. **Data Rooms** add per-member access control on top of file storage, letting you control exactly who can see specific files. Data rooms are typically used for due diligence, investor relations, and sharing sensitive materials.

  <Accordion title="What file types can I upload?">
    You can upload any file type. There are no restrictions on file formats. Common uploads include PDFs, Word documents, spreadsheets, images, and presentations.

  <Accordion title="Is there a file size limit?">
    Individual file uploads may be subject to browser and network limitations. For very large files, ensure you have a stable internet connection. Contact support if you encounter issues with specific file sizes.

  <Accordion title="Can I recover deleted files?">
    Files are soft-deleted in Equa, meaning they are hidden but not permanently removed. Re-uploading a file with the same name to the same location restores the deleted version.

## Billing and Subscriptions

    Visit **Settings > Billing** or the pricing page to see current plans. Each plan includes different feature sets and member limits.

    After cancellation, you retain read-only access to your data until the end of your paid period. Once the period ends, premium features are locked but your data is preserved.

  <Accordion title="What is EquaCash?">
    EquaCash is Equa's virtual currency earned through the referral program. You can apply EquaCash credits toward subscription payments to reduce your bill.

  <Accordion title="How do upgrades and downgrades work?">
    **Upgrades** take effect immediately with prorated billing for the current period. **Downgrades** take effect at the end of the current billing cycle, so you keep full access until then.

## Team Members and Permissions

    The member limit depends on your subscription plan. You can see your current count and limit on the Team Members page. Upgrade your plan to increase the limit.

    **Individual** members are people (founders, employees, investors). **Entity** members are organizations, trusts, or funds that hold equity. Both types work the same way on the cap table.

  <Accordion title="How do I give someone limited access?">
    Create a custom role with only the permissions they need, then assign that role to the member. For example, create an "Investor" role with only viewing permissions.

## Integrations

## Security and Privacy

  <Accordion title="Is my data secure?">
    Yes. Equa uses encrypted sessions, secure cookies, bcrypt password hashing, and content-addressed storage for immutable document records. All API requests require authentication, and role-based access control restricts what each user can see and do.

  <Accordion title="Does Equa store my credit card number?">
    No. Credit card processing is handled by Chargify (Maxio), a PCI-compliant payment processor. Equa does not store raw card numbers.

  <Accordion title="Can I export my data?">
    Cap table data is accessible through the reports module. You can copy report data into spreadsheets. Documents can be downloaded individually from the file browser or data room.

    Equa maintains an immutable audit trail through content-addressed hashing. Every change to your cap table, agreements, and operating documents creates a tamper-evident record that can be verified.
